Terms of Service

These terms govern your use of Smartyee.ai's website, services, and products. Please read them carefully before making any purchase. By using our services, you agree to these terms.

Agreement to Terms

By accessing or using the Smartyee.ai website (smartyee.ai), requesting a consultation, or purchasing any of our products or services, you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy.

These Terms constitute a legally binding agreement between you ("Customer," "you," or "your") and Smartyee.ai ("we," "us," or "our"). If you are agreeing to these Terms on behalf of a business or other legal entity, you represent that you have the authority to bind that entity.

If you do not agree to these Terms, please do not use our services. If you have questions about these Terms before making a purchase, please contact us at steve@smartyee.ai before proceeding.

About Smartyee.ai

Smartyee.ai is a California-based company on a mission to help small business owners, freelancers, and solo operators harness AI-powered automation — without hiring a full IT department or spending a fortune.

We believe that intelligent automation should be accessible to everyone. We accomplish this by providing a thoughtfully configured AI hardware solution (the Mac mini M4 AI package) paired with hands-on setup, configuration, and ongoing support — so you can focus on running your business, not your tech stack.

Our Services

Smartyee.ai currently offers three products and services:

🔍 Discovery Meeting — $50

A paid, one-on-one consultation (typically conducted via video call) where we learn about your business, workflows, and automation goals. During this session, we assess whether our AI solution is a good fit for your needs and walk you through what the implementation process looks like. The $50 fee ensures we are working with serious, qualified prospects and respects the time of both parties.

🖥️ Mac mini M4 AI Package — $1,500

A complete, ready-to-use AI automation system built on Apple's Mac mini M4 hardware. This package includes hardware procurement, full configuration and customization of the AI assistant (powered by OpenClaw), initial setup of your automations and integrations, and delivery to your specified address. The system is configured to your specific business needs before shipping.

🛡️ Annual Support Plan — $59.99/year

An optional annual plan providing continued support and maintenance for your AI system. See Section 8 for full details on what is and is not covered.

Pricing & Taxes

All prices are listed in United States Dollars (USD) and are subject to change without notice. The prices in effect at the time of your purchase will apply to your order.

Sales Tax: Sales tax, where applicable, is calculated based on the shipping destination address in accordance with applicable state and local law. Tax rates vary by jurisdiction. The applicable tax will be communicated to you before payment is due.

Custom Quotes: For projects involving complex customization, integration with proprietary systems, or requirements beyond our standard package, a custom quote may be necessary. We will provide a written quote prior to any work commencing.

We reserve the right to update pricing at any time. Updated pricing will not affect purchases that have already been completed.

Payment Terms

All payments are processed via PayPal invoice. We do not accept credit cards directly, checks, wire transfers, or other payment methods at this time. When you are ready to proceed, we will send a PayPal invoice to the email address you provide.

  • Payment is due upon receipt of the PayPal invoice unless otherwise agreed in writing.
  • Orders are not processed, scheduled, or fulfilled until payment has cleared in full. This includes discovery meetings, hardware orders, and support plan activations.
  • We reserve the right to cancel any unpaid order or unscheduled consultation if payment is not received within a reasonable timeframe.
  • PayPal processes all payment transactions. By paying via PayPal, you also agree to PayPal's terms and conditions.

No Refund / No Cancellation Policy

All Sales Are Final — No Refunds, No Cancellations

Once payment is received, all sales are final. We do not offer refunds, returns, or cancellations for any product or service under any circumstances, including but not limited to:

  • Change of mind or changed business circumstances
  • Dissatisfaction with the outcome of a discovery meeting
  • Delays in delivery or setup due to circumstances beyond our control
  • Third-party software changes, outages, or discontinuation
  • Failure to use the product or service after purchase

Discovery Meeting ($50): The $50 discovery meeting fee is non-refundable regardless of the outcome of the consultation, including if we determine our solution is not a fit for your needs.

Mac mini M4 AI Package ($1,500): Hardware is non-refundable once shipped. Due to the custom configuration performed for each customer, we cannot accept returns or issue refunds after a unit has been prepared and shipped.

Annual Support Plan ($59.99/year): Support plan fees are non-refundable. If you cancel during an active subscription period, your plan will remain active through the end of the current billing period but no partial or prorated refund will be issued.

We strongly encourage you to ask all questions and ensure you understand what you're purchasing before completing payment. We are happy to answer questions at steve@smartyee.ai prior to any purchase.

Order Fulfillment & Delivery

After payment has cleared in full, we will begin the process of procuring, configuring, and preparing your Mac mini M4 AI package. Here is what to expect:

  • Configuration time: Each system is custom-configured for your specific business needs. Estimated fulfillment timelines will be communicated to you after payment is received. Timelines are estimates, not guarantees.
  • Setup included: Your package includes full hardware setup, AI configuration, and integration work as discussed during your discovery meeting.
  • Accurate shipping information required: You are responsible for providing a complete, accurate, and deliverable shipping address. Smartyee.ai is not liable for delays, failed deliveries, or additional costs resulting from an incorrect or incomplete shipping address provided by you.
  • Carrier responsibility: Once your package is handed to the shipping carrier, we are not responsible for carrier delays, damages in transit, theft after delivery, or any other issues caused by the carrier or circumstances beyond our control.
  • Delivery confirmation: We will provide you with tracking information once your order has shipped.

If your shipment is lost or significantly delayed due to a carrier error, please contact us and we will work with you in good faith to resolve the situation, subject to carrier claims processes.

Annual Support Plan

The Annual Support Plan is an optional, recurring subscription at $59.99 per year designed to keep your AI system running smoothly with ongoing attention from the Smartyee.ai team.

What is covered:

  • Software updates and maintenance for the AI system configuration
  • OpenClaw configuration updates and optimization
  • Priority email support (response within 1 business day)
  • Assistance with reconfiguration as your business needs evolve

What is NOT covered:

  • Physical hardware damage, wear, or failure from any cause
  • Damage resulting from misuse, modification, or neglect
  • Force majeure events (acts of God, natural disasters, power surges, etc.)
  • Changes, outages, or discontinuation of third-party software or services (e.g., OpenClaw, Telegram, Apple OS updates that break compatibility)
  • Replacement hardware or parts
  • On-site visits or in-person support

Renewal and Cancellation:

The support plan automatically renews annually unless you cancel at least 30 days before your renewal date. To cancel, email steve@smartyee.ai with your cancellation request. We will confirm cancellation in writing.

Cancellation stops future automatic renewals but does not entitle you to a refund for the current subscription period. Your support coverage will remain active through the end of the period you have already paid for.

Third-Party Software & Services

Our AI solution integrates with and relies upon third-party software and services. It is important to understand the nature of these relationships:

OpenClaw: OpenClaw is independent, third-party software licensed separately from Smartyee.ai. Smartyee.ai provides configuration and deployment services for OpenClaw but does not own, develop, or control OpenClaw itself. We are not responsible for any changes OpenClaw makes to its software, pricing, licensing terms, features, or availability.

Telegram: Telegram is a third-party messaging platform. We may configure your AI system to integrate with Telegram. Smartyee.ai does not control Telegram's platform, policies, availability, or terms of service. Changes to Telegram that affect your AI system's functionality are outside our control.

Apple / macOS: Your hardware runs macOS. Apple's operating system updates, security patches, or changes to macOS may affect the functionality of your AI system. We are not responsible for issues arising from Apple's platform decisions.

Smartyee.ai provides configuration services only. We are not responsible for third-party software changes, outages, policy changes, price increases, discontinuation, or any other actions taken by third-party providers that affect your system's functionality.

Acceptable Use

You agree to use our products and services only for lawful business purposes and in compliance with all applicable federal, state, and local laws and regulations.

You agree NOT to use our services to:

  • Engage in any illegal activity
  • Harass, threaten, or harm any individual or group
  • Transmit spam, malware, or unauthorized commercial communications
  • Infringe on the intellectual property or privacy rights of others
  • Attempt to gain unauthorized access to any systems or networks
  • Engage in activities that could damage the reputation of Smartyee.ai

We reserve the right to refuse service to any customer, or to terminate existing service relationships, at our sole discretion, including in cases where we determine that a customer is using our services in violation of these Terms or in a manner that is harmful to others or to our business.

Intellectual Property

Our intellectual property: The Smartyee.ai brand name, logo, website design, content, documentation, and all associated materials are the exclusive intellectual property of Smartyee.ai. You may not reproduce, distribute, modify, or create derivative works from our materials without our express written permission.

Your intellectual property: Any business data, documents, workflows, or other content that you provide to us for the purposes of configuration belongs to you. We use your data solely to provide the services you've requested. We claim no ownership rights over your business information.

Configuration work we perform for you is provided as a service. The configured system, once delivered, is yours to use. However, the underlying methodologies, frameworks, and configuration techniques we use remain the intellectual property of Smartyee.ai.

Limitation of Liability

To the maximum extent permitted by applicable law, the total aggregate liability of Smartyee.ai and its owners, employees, agents, and contractors to you for any claims arising from or related to these Terms, our services, or your use of our products shall not exceed the total amount you have paid to Smartyee.ai in the twelve (12) months immediately preceding the event giving rise to the claim.

In no event shall Smartyee.ai be liable for:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, business opportunities, or data
  • Damages arising from reliance on third-party software or services
  • Damages resulting from unauthorized access to or alteration of your data
  • Damages arising from circumstances beyond our reasonable control

These limitations apply regardless of the legal theory under which damages are sought (contract, tort, negligence, or otherwise), and even if Smartyee.ai has been advised of the possibility of such damages.

Some jurisdictions do not allow the exclusion of implied warranties or limitation of incidental or consequential damages, so the above limitations may not apply to you to their full extent.

Disclaimer of Warranties

Our services are provided "as is" and "as available", with reasonable care and skill, but without any warranties, express or implied, beyond what is required by law.

To the fullest extent permitted by law, Smartyee.ai disclaims all implied warranties, including but not limited to:

  • Implied warranties of merchantability or fitness for a particular purpose
  • Warranties of non-infringement
  • Any guarantee of uninterrupted, error-free, or perfectly secure service

We do not guarantee that our AI systems will achieve any specific business outcomes, revenue targets, productivity improvements, or other results. The effectiveness of AI automation is dependent on many factors, including how you use the system, the quality of the data you provide, and factors outside our control.

Indemnification

You agree to defend, indemnify, and hold harmless Smartyee.ai and its owners, employees, agents, and contractors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use or misuse of our services or products
  • Your violation of these Terms
  • Your violation of any applicable law or the rights of a third party
  • Any content or data you provide to us in connection with our services

We reserve the right to assume exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense of that claim.

Dispute Resolution

We hope any disputes can be resolved informally. If you have a concern, please contact us at steve@smartyee.ai and give us the opportunity to resolve it before pursuing formal action.

Good Faith Negotiation: Before initiating any arbitration or legal proceeding, both parties agree to attempt to resolve any dispute through good faith negotiation. Either party may initiate this process by sending written notice of the dispute to the other party. The parties agree to negotiate in good faith for at least 30 days before proceeding to arbitration.

Binding Arbitration: If good faith negotiation fails to resolve the dispute, it shall be resolved by binding arbitration conducted in California in accordance with the rules of the American Arbitration Association (AAA) or a mutually agreed-upon arbitration provider. The arbitration shall be conducted in English.

Class Action Waiver: You and Smartyee.ai agree that each party may bring claims against the other only on an individual basis and not as part of any class, consolidated, or representative action or proceeding. You expressly waive any right to participate in a class action lawsuit or class-wide arbitration against Smartyee.ai.

Nothing in this section prevents either party from seeking emergency injunctive relief from a court of competent jurisdiction to protect its rights or property while arbitration is pending.

Force Majeure

Smartyee.ai shall not be liable for any delay or failure to perform our obligations under these Terms that is caused by circumstances beyond our reasonable control. Such circumstances include, but are not limited to:

  • Acts of God (fire, flood, earthquake, storm, natural disasters)
  • Pandemic, epidemic, or government-mandated shutdowns
  • War, terrorism, civil unrest, or governmental actions
  • Supply chain disruptions or component shortages
  • Failures of third-party infrastructure, internet service providers, or platforms
  • Actions or inactions of third-party service providers (e.g., shipping carriers, PayPal)

In the event of a force majeure event, we will notify you as soon as reasonably practicable and will use commercially reasonable efforts to resume performance as soon as the circumstances allow.

Severability & Entire Agreement

Severability: If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or removed if modification is not possible. The remaining provisions of these Terms shall continue in full force and effect.

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Smartyee.ai with respect to the subject matter hereof, and supersede all prior or contemporaneous understandings, agreements, representations, or warranties, whether written or oral, regarding such subject matter.

No waiver by Smartyee.ai of any provision of these Terms shall be effective unless explicitly stated in writing and signed by an authorized representative of Smartyee.ai.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States of America, without regard to its conflict of law provisions.

To the extent that any dispute is not subject to arbitration under Section 15, you and Smartyee.ai consent to the exclusive jurisdiction and venue of the state and federal courts located in California for resolution of any such dispute. Both parties waive any objection to jurisdiction and venue in such courts.

Changes to Terms

We reserve the right to update or modify these Terms at any time. When we make changes, we will update the "Last Updated" date at the top of this page.

For material changes that significantly affect your rights or obligations, we will make reasonable efforts to notify you via email (if we have your address) at least 14 days before the updated Terms take effect.

Your continued use of our website or services after the effective date of any updated Terms constitutes your acceptance of the revised Terms. If you do not agree with updated Terms, you must stop using our services.

We encourage you to review these Terms periodically.
